This book provides an introduction to the rise and development of present-day private law.
The 2005 Avant-projet de réforme du droit des obligations et de la prescription, also dubbed the Avant-projet Catala, suggests the most far-reaching reform of the French Civil code since it came into force in 1804. It reviews central aspects of contract law, the law of delict and the law of unjustified enrichment. There is currently a very lively debate in France as to the merits or the demerits of both the particular draft provisions and the general idea of recodification as such. This volume is the first publication to introduce the reform proposals to an English speaking audience. It contains the official English translation of the text, and distinguished private lawyers from both England and France analyse and assess particularly interesting aspects of the substantive draft provisions in a comparative perspective. Topics covered include negotiation and renegotiation of contracts, la cause, the enforcement of contractual obligations, termination of contract and its consequences, the effects of contracts on third parties, the definition of la faute, the quantification of damages, and the law of prescription. The volume also contains an overall assessment of the draft provisions by one of the most senior French judges who chaired the Working Party on the Avant-projet, established by the French Supreme Court, the Cour de cassation. Equity is a multi-faceted subject, an authentic crossroads of problems. The perspective of this study is, as a result, a mix of focuses, which includes: the philosophy of law, general legal theory, justice theory, the history of law, comparative law, legal dogma, etc. In this book, as in various earlier studies of the author, she uses the "three-dimensional" method, which facilitates a stratified focus in agreement with three levels: facts, norms, and values. I. The importance of legal questions related to the sea is obvious to everyone. It is hardly surprising that the subjects that make up international current events illustrate the leading role played by maritime affairs. Indeed, it is no coincidence that three quarters of the earth's surface is covered by oceans. Territorial seas, exclusive economic zones, exploitation of the seabed, fishing, transport, insurance, collision, and pollution raise many unresolved questions. On the other hand, the contrast of this importance with the modest attention that existing periodical publications merit must be underscored. Without undervaluing these publications, there has been a need for some time to create a vehicle of common expression, based on three central tenets: interdisciplinary framework, tendency towards uniform law, and both a theoretical and practical approach. a. A framework of interdisciplinary nature seems to be relevant as it is desirable to overcome the artificial separation between public and private law.
The governance of seas and oceans, defined as all forms of social participation in decision-making on the marine environment, is here mainly from a legal perspective view with the Law of the Sea as a determinant. The book presents the main aspects of maritime law and the history of its construction. The exploitation of living resources, minerals and marine energy reserves, maritime transport, marine ecosystems disturbance by a vessel traffic constantly increasing, are included.
Consumer protection has become a phenomenon of the past years and the combination of consumer protection and arbitration is especially sensitive. Some countries experience tens of thousands of consumer arbitrations each year while others significantly limit or even entirely exclude arbitration in consumer disputes. Many countries have undergone certain reforms in consumer disputes, the main objective of which is the protection of consumers in arbitration. The controversial variable is the degree of protection to be afforded to the consumer, both under the applicable substantive law and in procedural terms. These are the main issues addressed in this book. Apart from the key topic, the author has extensively elaborated on certain fundamental categories such as public interest and public policy (all primarily in connection to the procedural mechanisms of consumer protection); he has also analyzed the applicable European law and the case law of the ECJ and offered an overview of the individual systems employed in both European and non-European countries (especially the USA and Canada). An integral part of this book is an extensive comparison and analysis of the voluminous case law (several tens of decisions), with reference to more than three hundred other available court decisions. The book also focuses on the position of the consumer in the individual procedural stages, the intervention of courts in arbitration motivated by consumer protection, the individual stages of proceedings, recognition and enforcement of arbitral awards rendered in consumer disputes, both in domestic context and in the international milieu etc. The international practice significantly influences the domestic environment in the individual countries. The key issue in the EU countries is, in principle, the enforcement of EU standards which influence the domestic models of consumer protection, primarily in connection with the autonomous EU interpretation of a number of institutions. Many related issues have not yet been addressed in the case law of certain states. In fact, some of them have never even been discovered. Besides, the enforcement of foreign arbitral awards requires, inter alia, the compliance with extra-EU international obligations binding on the individual states. And finally, arbitration is not regulated by the EU law, as opposed to consumer protection. Naturally, arbitration is to a significant extent regulated by international law. This results in conflicts between national, international interpretation and interpretation pursuant to the EU law, where the circumstances allow to apply the EU law. This book is intended for all readers who have any experience with enforcement of consumer rights, as well as for all professionals dealing with arbitration in general. It is therefore intended for general legal practitioners, lawyers, primarily arbitrators, of course, but also for judiciary dealing with civil matters in the broadest sense. Apart from a voluminous case law, the book quotes from a number of domestic and foreign sources and, above all, offers a long list of structured bibliography and detailed subject index, as well as a table of states, table of cases and list of legal sources. It is therefore not only an important tool for the practice, but also a useful instrument for academics (lawyers as well as other professionals).
Starting with the first "scientific" economists such as Cantillon (1755) and Quesnay (1758) and ending with Piketty (2019), this book explores the treatment of the concept of capital in the history of accounting and economic thought. The work provides a rare juxtaposition of the reasoning, discourse and writings of accountants and economists. With regard to ‘capital’, this approach highlights the ongoing struggle between these "uncongenial twins" – as Kenneth Boulding put it – for primacy in analysing, and utilising, capitalism. But if they are certainly "uncongenial", the book also argues that it is wrong to ever classify these two disciplines as "twins" because they have taken very different paths ever since scientism came to dominate in economics and ethical and moral considerations were put to one side. This book will be of significant interest to readers to history of economic thought, critical accounting and heterodox economics.
